These Terms of Service ("Terms") govern your access to and use of the website (miraisage.com), products, and services provided by Mirai Sage Private Limited ("Mirai Sage", "we", "us", or "our"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Mirai Sage builds and provides AI products, including an AI Voice Assistant that answers inbound business calls, and a GEO Audit tool. The specific features and scope of each product are described on our website and in any order or agreement you enter into with us. We may update, improve, or modify our products over time.

Our services are intended for businesses. By using our services, you confirm that you are authorised to act on behalf of the business you represent and to enter into these Terms. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of any account credentials.

Where you upload business information or other content to power your AI agent, you confirm that you have the right to use that content and that it does not infringe any third party's rights or violate any law. You remain responsible for the content you provide and for ensuring your use of our services complies with applicable law, including in relation to your own customers and callers.

Pricing and plans. Our Voice Assistant is offered on a prepaid, usage-based model. Charges apply per minute of AI call handling, according to the plan or credit pack you purchase. Prices are stated in Indian Rupees (INR).

GST. All purchases, including credit top-ups, are subject to Goods and Services Tax (GST) at the applicable rate, currently 18%. Where you are a GST-registered business, you may be able to claim input tax credit on the GST charged, subject to GST law. You are responsible for your own GST filings.

Credits. Credits purchased separately from a monthly plan do not expire. All credits, including separately purchased credits, are non-refundable.

Payment. Payments are processed through a third-party payment gateway. By making a payment, you agree to the terms of the applicable payment provider. We are not responsible for the acts or omissions of the payment provider.

Except where required by applicable law, payments and credits are non-refundable. Please review your plan or credit purchase carefully before completing payment.

You agree not to use our services to:

• violate any applicable law or regulation;
• infringe the rights of others;
• transmit unlawful, harmful, or fraudulent content;
• attempt to gain unauthorised access to our systems or disrupt our services; or
• misuse the AI Voice Assistant in any way that harms your callers or third parties.

We may suspend or terminate access for any breach of these Terms.

All intellectual property rights in our website, products, technology, and content (excluding content you provide) belong to Mirai Sage or our licensors. We grant you a limited, non-exclusive, non-transferable right to use our services in accordance with these Terms. You may not copy, modify, reverse-engineer, or resell our services without our written permission.

We aim to provide reliable services but do not guarantee that our services will be uninterrupted, error-free, or available at all times. We may perform maintenance, updates, or changes that temporarily affect availability.

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. AI-generated responses and outputs may not always be accurate or complete, and you are responsible for how you use them.

To the maximum extent permitted by law, Mirai Sage shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with your use of our services. Our total liability for any claim shall not exceed the amount you paid to us for the relevant service in the three months preceding the claim.

You agree to indemnify and hold harmless Mirai Sage and its directors, employees, and agents from any claims, damages, or expenses arising out of your use of our services, your content, or your breach of these Terms.

You may stop using our services at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Provisions that by their nature should survive termination (including billing, intellectual property, disclaimers, limitation of liability, and indemnity) will continue to apply.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Palakkad, Kerala, India.
